LicensorPro Commercial License
Version 1.1 — effective 1 August 2026

This License is an agreement between you ("you", "your") and Suresh Kumar Meena, a sole proprietor based in Jaipur, Rajasthan, India ("we", "us", "our"), covering the LicensorPro software, including its source code, documentation and updates (the "Software").
The Software is licensed, not sold. By installing, copying or running the Software, or by accepting these terms at checkout, you accept this License. If you do not accept it, do not install or use the Software.
Plain-language summary (the sections below are what actually binds): run it on as many instances as your plan allows, change the code however you like for your own use, and use it to license your own products — including for your clients. Just don't hand the Software itself to anyone else, and don't disable the licence checks. The bundled SDKs are MIT so you can ship them inside your own products freely. If your plan lapses, your install keeps working — you just stop getting updates and support.
1. Licence grant
Subject to your compliance with this License and to payment of the applicable fees — whether paid to us or to our authorised reseller acting as merchant of record — we grant you a non-exclusive, non-sublicensable, worldwide licence, for the term of your plan, to:
- Install and run the Software on up to the number of instances included in your plan (an "instance" is one deployment of the Software serving one licensing backend);
- Modify the Software's source code for your own use on those instances, including fixing, extending or integrating it with your systems;
- Use the Software to issue, validate and manage licences for products you publish; and
- Operate instances on behalf of your clients — you may deploy, host and administer an instance that serves a client's products, provided the instance is covered by your plan and you do not deliver the Software itself to that client (see section 2).
The entitlements shown for your plan at the time of purchase — instance counts, seats, and which features are included — form part of this License.
The free "Starter" tier is licensed on the same terms, limited to the entitlements shown for that tier, and may be used indefinitely without payment.
2. Restrictions
You must not, and must not permit anyone else to:
- Distribute the Software. You may not distribute, publish, transmit, sell, resell, rent, lease, lend, sublicense, transfer or otherwise make available the Software or any part of it, in source, compiled, encoded or any other form, to any third party. This applies equally to any modified version or derivative work you create.
- Offer the Software itself to third parties, whether as a download, as a hosted or managed service, as a template, or bundled inside another product. Operating an instance for your own or a client's products under section 1.4 is permitted; making the Software available as the thing being provided is not.
- Circumvent licence validation. The licence key check, activation, entitlement gates and update check in the Software are technological measures that control access to the Software and to the functionality included with a paid plan. You may not circumvent, remove, disable, bypass, obscure or impair any of them, nor develop, distribute or traffic in any means of doing so, nor assist anyone else in doing so, nor use the Software with a licence key you are not entitled to.
- Remove our branding on any plan that does not include the white-label entitlement. Where your plan includes white-labelling, you may remove or replace the visible LicensorPro branding on that instance; copyright notices in the source code must remain intact regardless.
- Misuse our trademarks. This License grants no rights in the "LicensorPro" or "JnK Plugins" names, logos or other brand assets.
- Publish the Software's source publicly, including on a public repository, paste service or file-sharing site, whether modified or not.
- Breach export or sanctions law. You may not use, export or re-export the Software in violation of applicable export-control or economic-sanctions laws, and you confirm you are not located in, or acting on behalf of anyone in, a territory subject to comprehensive sanctions.
3. Ownership and your data
We retain all right, title and interest in and to the Software, including all intellectual property rights. You own any data you or your customers put into the Software, and any original code you write yourself; nothing here claims otherwise. Modifications you make to the Software remain derivative works of the Software and are subject to section 2.
The Software runs on your infrastructure. We do not access, receive, store or process the data that you or your customers put into your installation — your customer records, licence keys, orders and activations stay in your own database. You are the controller of that data and are responsible for how it is handled. The only information the Software sends us is described in section 5.3.
4. Term, lapse, refund and termination
Term. This License runs for as long as your plan is active.
If your plan lapses, sections 1.1 to 1.4 continue for the last version you lawfully received — the Software you already installed keeps running and you may keep using it to license your own products, including for clients. You are no longer entitled to updates, new versions or support, and paid entitlements may cease to function. Licences you have already issued to your own customers are unaffected: they keep validating, and your customers keep receiving what you promised them.
If you take a refund, this License ends on the date the refund is issued. You must then stop using the Software and delete all copies of it, including any modified versions. Our refund policy is published at https://jnkplugins.com/refund.php.
Termination for breach. This License terminates automatically if you breach section 2. On termination you must stop using the Software and delete all copies.
Survival. Sections 2, 3, 5, 6, 7 and 8 survive termination or expiry of this License.
5. Bundled components, assignment, and what the Software sends us
5.1 SDKs are MIT. The client SDKs distributed with the Software — sdk/licensorpro-client,
sdk/licensorpro-php and sdk/licensorpro-js — are licensed to you under the MIT License
(see the LICENSE file in each directory). You may freely copy, modify and redistribute them,
including inside commercial products you sell. This is deliberate: you need to ship them to your
own customers.
5.2 Other components. Third-party dependencies under vendor/ remain subject to their own
licences. Brand assets under public/brand/ are not covered by this License and remain our property.
5.3 What the Software sends us. So there is no surprise: your installation contacts our
licensing server (by default https://api.jnkplugins.com, configurable) to check your licence and
to look for updates. It sends only:
- on activation and deactivation — your licence key, your site URL, and the application version;
- every 12 hours while licensed — your licence key and your site URL, to re-validate;
- every 6 hours — your licence key, site URL, product slug, current version and release channel, to check for updates.
As with any HTTP request, our server also sees the originating IP address. We do not receive your customers' data, your orders, or anything else from your installation. If your installation cannot reach us, it keeps working on its last known-good result for the grace period shown in your admin. 5.4 Assignment. This License is not transferable, except that you may assign it in its entirety, on written notice to us, to a successor in a merger, acquisition, or sale of all or substantially all of your assets, provided the successor accepts this License and your plan's entitlements are not exceeded. We may assign this License in connection with a sale or reorganisation of our business.
6. Warranty, support and indemnity
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. You are responsible for operating the Software securely, for your own backups, and for compliance with the laws that apply to your business and your customers' data.
Support. While your plan is active we provide support on a commercially reasonable basis through the channels published on our website. No response time or availability is guaranteed unless we have agreed one with you in writing.
Indemnity. We do not provide any indemnity, including against claims that the Software infringes a third party's rights, unless we have agreed one with you separately in writing.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS LICENSE SHALL NOT EXCEED THE TOTAL FEES PAID FOR THE SOFTWARE. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Nothing in this License limits liability that cannot be limited under applicable law.
8. General
8.1 Which document wins. Where they conflict, the order of precedence is: (1) this License, (2) our published Terms of Service, (3) the plan page and other marketing material. Together they are the entire agreement between us regarding the Software.
8.2 Versions. This License is versioned. The version in effect when you purchase governs that term of your plan; if we publish a new version it applies from your next renewal. Current and superseded versions are published at https://jnkplugins.com/licensorpro/license.php.
8.3 Verification. The Software reports the information in section 5.3 to us, and we may use it to confirm that your use is within your plan's entitlements. If it appears not to be, we will tell you and give you a reasonable opportunity to put it right before taking any other step.
8.4 Resolving disputes. If something goes wrong, tell us first: send written notice to [email protected] describing the problem, and we will both try in good faith to resolve it within 30 days. If that fails, this License is governed by the laws of India, and the courts at Jaipur, Rajasthan have non-exclusive jurisdiction.
Two things sit outside that process, for both of us: either party may seek urgent injunctive relief, and we may bring proceedings for infringement of our intellectual property or for circumvention under section 2.3, in any court of competent jurisdiction. Nothing here takes away your right to bring a claim in a small-claims court, or any mandatory consumer-protection right available to you where you live.
8.5 Severability. If any provision is held unenforceable, the rest remains in force.
